PLEASE READ THESE LICENCE TERMS CAREFULLY
This licence agreement (Licence) is a legal agreement between you and Vallum Wealth Consulting Limited (we, us, our) for access to Vallum Wealth UK Management Insights UK (Directory).
We are a limited company registered in England and Wales under company number 14492785 and have our registered office at 2nd Floor Citygate, St James’ Boulevard, Newcastle Upon Tyne, United Kingdom, NE1 4JE.
We license use of the Directory to you on the basis of this Licence. We do not sell the Directory to you. We remain the owners of the Directory at all times.
ACCESS TO THE DIRECTORY
To be granted access to the Directory, please contact us using the “Contact” button on our site.
We will then contact you to tell you the fee payable for access to the Packages (as set out in the “Packages” section below) in each period of 3 calendar months starting on the date of payment (Quarter). This is the Fee.
Once the Fee for the chosen Package has been received by us (to the bank account nominated by writing by us), we will provide to you secure login details to access the Directory via our website https://www.vallumwealth.co.uk/ (our site), using the Log In page.
To retain access to the Directory, you must pay the Fee each Quarter.

LICENCE
In consideration of the Fee paid by you to us, we will grant to you a non-exclusive, non-transferable licence to access the Directory, on the terms of this Licence, in any Quarter in which you have paid the Fee.
DISCLAIMER
You acknowledge that the Directory reflects our opinions and is based on meetings with the wealth management firms, sector knowledge, and additional information from multiple sources. We are not responsible for any actions taken in reliance on the Directory.
CHANGES
We maintain the Directory with regular updates to detail relevant information, express our views and highlight impactful changes at wealth management firms.
CONFIDENTIALITY
You must treat as confidential any user identification code, password or any other piece of information we provide to you in order to be able to access the Directory. You must not disclose it to any third party.
We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms.
If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us using the “Contact” button on our site.
You are not entitled to disclose any part of the Directory to any third party.
You indemnify us for all losses incurred by us as a result of breach of these confidentiality provisions.
INTELLECTUAL PROPERTY RIGHTS
All intellectual property rights in the Directory are and shall remain the exclusive property of us (or, where applicable, the third party from whom our right to use the intellectual property rights has derived).
THESE LICENCE TERMS
By paying the Fee, you agree to the terms of this Licence which will bind you. If you do not agree to these terms, you must not use the Directory.
We recommend that you print a copy of these terms for future reference.
We amend these terms from time to time. Every time you wish to renew access to the Directory, please check these terms to ensure you understand the terms that apply at that time.
Use of our site is governed by our website terms of use.
WE MAY TRANSFER THIS LICENCE TO SOMEONE ELSE
We may transfer our rights and obligations under the terms of this Licence to another organisation. We will ensure that the transfer will not affect your rights under this Licence.
OUR RESPONSIBILITY FOR LOSS OR DAMAGE SUFFERED BY YOU
We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.
We exclude all implied conditions, warranties, representations or other terms that may apply to the Directory or any content on it.
We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with use of or reliance on any content in the Directory.
In particular, we will not be liable for:
· loss of profits, sales, business, or revenue;
· business interruption;
· loss of anticipated savings;
· loss of business opportunity, goodwill or reputation; or
· any indirect or consequential loss or damage.
TERMINATION
We may terminate this Licence immediately by written notice to you if you commit a material or persistent breach of this Licence which you fail to remedy (if remediable) within 14 days after we ask you to do so.
Upon termination for any reason:
· all rights granted to you under this Licence shall cease; and
· you must cease all activities authorised by this Licence.
GOVERNING LAW AND JURISDICTION
The terms of this Licence, its subject matter and its formation (and any non-contractual disputes or claims) are governed by English law. You and we both agree to the exclusive jurisdiction of the courts of England and Wales.
